Your official registered agent of record will always be a Wyoming-licensed commercial registered agent partner, not WY Commercial Registered Agent Services LLC itself.

3. Eligibility to Use Services

Customer Responsibilities:

Renew your registered agent service prior to expiration

Failure to maintain an active registered agent may result in:

Loss of good standing
Administrative dissolution
Inability to receive legal notices

We are not liable for any penalties, dissolution, or damages resulting from your failure to renew service.

5. LLC Formation Assistance

If you purchase formation assistance:

We submit Articles of Organization based on the information you provide.
You are responsible for the accuracy of the information you provide.
State filing fees are non-refundable once submitted.

We do not guarantee:

Approval by the Wyoming Secretary of State
Specific processing times
Suitability of an LLC for your legal or tax situation

6. Mail Forwarding & Virtual Address Services

If you purchase mail forwarding or address services:

We forward mail according to the package you selected.
Mail forwarding does not constitute residency, physical presence, or qualification for licensing.
We are not responsible for USPS delays, lost mail, or third-party carrier issues.
You may not use the address provided for illegal activities, credit fraud, banking fraud, or misrepresentation.

Violation of these terms may result in immediate termination of services without refund.

7. Renewal & Billing

Registered Agent Service Renewal

Registered agent service renews annually unless canceled before the renewal date.

You authorize us to bill the payment method on file unless:

You manually cancel service
You update your payment method

Failure to Pay

If payment is not completed:

Your registered agent service may be suspended
Your company may fall out of good standing
You may lose statutory representation

We are not liable for any consequences resulting from non-renewal.

8. Refund Policy

Due to the nature of our Services:

State filing fees are always non-refundable once submitted
Registered agent service fees are non-refundable once activated
Service fees for completed work are non-refundable

Refunds may be issued only if:

No work has been performed
No filings have been submitted
A clerical error on our part has occurred

Refund decisions are made at our sole discretion.

9. User Responsibilities

You agree not to use our Services for:

Fraud
Identity theft
Illegal business activities
Money laundering
Deceptive financial behavior
Mail fraud

We may terminate your account immediately if illegal activity is suspected.

10. Document Delivery & Communications

We deliver government documents through:

Scanning services

We are not responsible for:

Email issues preventing receipt
Client failure to review delivered documents
Spam filters blocking messages

It is your responsibility to maintain active contact information.

11. Limitation of Liability

To the maximum extent permitted by law:

WY Commercial Registered Agent Services LLC, its owners, employees, contractors, and partners are not liable for:

Any damages arising from business decisions
Loss of profits
Business interruption
Penalties for late filings
Misuse of documents
State rejections
Dissolutions from non-renewal

You agree that our maximum liability is limited to the amount you paid us for that specific service.

12. Indemnification

You agree to indemnify and hold harmless WY Commercial Registered Agent Services LLC from:

Claims
Losses
Damages
Penalties
Attorney fees

arising from your business activities, filings, misuse of our services, or use of the registered agent address.

13. Termination of Services

We may terminate service immediately if:

You fail to pay
You use the services for illegal purposes
You provide false information
You abuse staff or systems
A partner registered agent declines representation

Upon termination, you must appoint a new registered agent immediately.

14. Changes to Terms

We reserve the right to update or modify these Terms at any time.
Updates will be posted on this page with a new “Last Updated” date.

Continued use of our Services constitutes acceptance of updated Terms.

15. Governing Law

These Terms are governed by the laws of:
